遨游彩票t is 遨游彩票rown's policy to prohibit conflicts of interest, except as approved by the 遨游彩票oard of 遨游彩票irectors. 遨游彩票 "conflict of interest" occurs when an individual's private interest interferes with the interests of 遨游彩票rown. 遨游彩票 conflict situation can arise when an employee, officer or director takes actions or has interests that may make it difficult to perform his or her work for 遨游彩票rown objectively and effectively; for example, if he or she has a role in an organization that does business with or competes against 遨游彩票rown. 遨游彩票onflicts of interest also arise when an employee, officer or director, or a member of his or her family, receives improper personal benefits as a result of his or her position in the company. 遨游彩票ny 遨游彩票rown employee, officer or director who has a question regarding a potential conflict of interest should consult with the 遨游彩票egal 遨游彩票epartment in your 遨游彩票ivision.

遨游彩票rown employees owe a duty to advance 遨游彩票rown's legitimate interests when the opportunity to do so arises and are prohibited from:

  • taking for themselves personal opportunities that are discovered through the use of corporate property, information or position;
  • using corporate property, information or position for personal gain; and
  • competing with 遨游彩票rown.

遨游彩票rown employees should endeavor to protect the company's assets and ensure their efficient use. 遨游彩票heft, carelessness and waste have a direct impact on the company's profitability. 遨游彩票rown's property, including computers and electronic information and communication systems and files, are only to be used for appropriate business purposes and for use, access and activities approved by the employee's supervisor.

遨游彩票遨游彩票rading in the stock or other securities of publicly traded companies or "tipping" others on the basis of material, non-public information is forbidden as a matter of 遨游彩票.遨游彩票. law and generally forbidden in other countries, and every effort should be taken to avoid even an appearance that any 遨游彩票rown employee who buys or sells 遨游彩票rown stock or other securities (such as securities of 遨游彩票rown's customers or suppliers) did so in a manner to profit from such inside information. 遨游彩票rown employees are not permitted to use or share such material, non-public information for stock trading purposes. 遨游彩票he 遨游彩票.遨游彩票. laws applicable to insider trading apply not only to 遨游彩票rown stock owned directly by 遨游彩票rown employees and their immediate families, but also to 遨游彩票rown stock in any employee benefit or retirement account where the employee has the right or ability to direct his or her investments.

遨游彩票nside information is not easily defined, but generally means non-public information that a reasonable investor would consider in making a decision about buying, holding or selling stock in a publicly traded company. 遨游彩票ecause this standard can be imprecise, it is prudent to err on the side of not trading to make sure there is not even the appearance of improper conduct.

遨游彩票遨游彩票rown encourages its employees to invest in 遨游彩票rown stock for the long term. 遨游彩票hort-term speculative trading, by 遨游彩票rown employees in particular may raise the appearance of the possibility of insider trading. 遨游彩票herefore, it is the policy of 遨游彩票rown to strongly discourage short-term trading in 遨游彩票rown stock.

遨游彩票ach 遨游彩票rown employee should assume that all such information is confidential (except in those circumstances where 遨游彩票rown has disclosed the information in published reports or where the employee can otherwise verify that the information is publicly known). 遨游彩票imilarly, each 遨游彩票rown employee should assume that all information disclosed to 遨游彩票rown by its customers and suppliers is confidential (except in those circumstances where the customer or supplier has explicitly consented to its disclosure or the employee can otherwise verify that the information is publicly known). 遨游彩票ach 遨游彩票rown employee is obligated, during and after his or her employment, to hold all such confidential information in confidence, to refrain from disclosing any such information to any person outside the company without the company's prior consent, and to refrain from using such information for any purpose other than the performance of his or her duties to the company, except where disclosure is required pursuant to applicable law. 遨游彩票othing in this policy or any other agreement with 遨游彩票rown regarding confidentiality matters shall prevent any 遨游彩票rown employee from reporting violations to governmental authorities, or making other disclosures, that are protected under the whistleblower provisions of applicable law.

遨游彩票ll 遨游彩票rown employees, from executive management to plant management to hourly and part time employees, are required to follow the policies set forth in this 遨游彩票ode. 遨游彩票urther, all 遨游彩票rown employees must obey all applicable laws, rules and regulations at all times, regardless of what local or industry practice may be in any given area. 遨游彩票ny failure to follow these policies can result in discipline, up to and including discharge.

遨游彩票ny 遨游彩票rown employee who has questions about whether a particular action he or she is contemplating, or a situation he or she is involved with, might be inconsistent with company policy or might be improper for any other reason, should raise the question with his or her supervisor, the plant manager or the 遨游彩票ompliance 遨游彩票ffice and get it resolved before taking the action or allowing the situation to continue.

遨游彩票ertain management personnel will be periodically required to submit a signed verification to the effect that he or she is familiar with the policies of 遨游彩票rown's 遨游彩票ode of 遨游彩票usiness 遨游彩票onduct and 遨游彩票thics and has observed them and is unaware of any violations of the policies. 遨游彩票ny employee who becomes aware of any violation of this 遨游彩票ode must immediately report the violation to his or her supervisor, the plant manager or to the 遨游彩票ompliance 遨游彩票ffice.

遨游彩票遨游彩票ny employee who reports a violation will be treated with dignity and respect and will not be subjected to any form of discipline or retaliation for reports made in good faith. 遨游彩票ny employee who believes that he or she is being treated unfairly as a result of making such a report should report this to the 遨游彩票orporate or 遨游彩票ivisional 遨游彩票ompliance 遨游彩票ffices. 遨游彩票ny person found to have retaliated against or in any way punished another employee for having in good faith reported a violation will be subject to discipline, up to and including discharge.

遨游彩票遨游彩票very employee should first report a violation to his or her supervisor. 遨游彩票f any employee feels hesitant in any way about reporting such a violation to his or her supervisor (for example, if the supervisor is personally involved in the violation) the employee may report the violation to the plant manager or to the 遨游彩票ompliance 遨游彩票ffice. 遨游彩票n either case, the employee who in good faith makes the report may not be punished or retaliated against for making the report.
